1. Agreement to Terms
By accessing or using the services of Kammell Broker International Ltd ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access our services or engage in business transactions with us.
2. Services Description
Kammell Broker International Ltd is an agricultural trading company specializing in the sourcing and distribution of organic and sustainably produced agricultural products from Africa, including but not limited to coffee beans, cocoa beans, and vanilla. We act as brokers connecting producers with global buyers.
3. Business Transactions
3.1 Orders and Quotations
All quotations provided are valid for 14 days unless otherwise stated. Orders are subject to product availability and confirmation. We reserve the right to modify prices based on market conditions with prior notice.
3.2 Product Quality
All products are sourced from certified organic farms and meet international quality standards. Product grades (AA, AB for coffee; A, B for vanilla) are specified in individual contracts. Samples are available upon request for quality verification.
3.3 Payment Terms
Payment terms are negotiated on a per-contract basis. Standard terms include Letter of Credit (L/C), Telegraphic Transfer (T/T), or other mutually agreed payment methods. Late payments may incur interest charges as specified in individual contracts.
4. Shipping and Delivery
Shipping terms are specified in individual contracts using standard Incoterms (FOB, CIF, CFR, etc.). Delivery schedules are estimates and may be affected by factors beyond our control including:
- Weather conditions affecting harvest and transportation
- Port congestion and shipping delays
- Customs and regulatory clearances
- Force majeure events
5. Quality Assurance and Claims
5.1 Inspection
Buyers are encouraged to inspect goods upon arrival. Any claims regarding quality or quantity must be submitted in writing within 7 days of delivery, accompanied by supporting documentation and third-party inspection reports where applicable.
5.2 Certifications
We provide authentic organic certifications, phytosanitary certificates, and quality certificates as required. All certifications are verifiable through the issuing authorities.
6. Intellectual Property
All content on our website, including text, graphics, logos, and images, is the property of Kammell Broker International Ltd and is protected by intellectual property laws. You may not reproduce, distribute, or use any content without our prior written consent.
7. Limitation of Liability
To the fullest extent permitted by law, Kammell Broker International Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or any transactions conducted through us. Our total liability shall not exceed the value of the specific transaction in question.
8. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, war, terrorism, strikes, government actions, or pandemics. In such events, the affected party shall notify the other party promptly and both parties shall work in good faith to mitigate the impact.
9. Dispute Resolution
Any disputes arising from these terms or business transactions shall first be addressed through good-faith negotiations. If unresolved, disputes shall be submitted to arbitration in accordance with the rules of the International Chamber of Commerce (ICC), with London, United Kingdom as the seat of arbitration.
10. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
11. Modifications
We reserve the right to modify these Terms of Service at any time. Changes will be posted on our website with an updated revision date. Continued use of our services after modifications constitutes acceptance of the revised terms.
12. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
